Objective

To conduct studies pertaining to early detection of the risks that may endanger the existence, development and continuity of the company, implementation of measures relating to the risks that have been detected and management of the risk and to review the risk management systems at least once in a year.

  1. Committee Structure and Membership

    With the number of independent members being limited to the total number of the members of the Company Board of Directors, the Early Detection of Risk Committee is made up of 2 (two) members of the Board of Directors and sufficient quantity of members from the outside of the Board of Directors taking into account the technical matters. The members of the Committee are elected by the Board of Directors following approval of the internal Regulation by the Board of Directors and starts to operate following the decision of the Board of Directors.

  2. Duties, Authorities and Liabilities of the Early Detection of Risk Committee
    1. It establishes internal control system for the purpose of defining, assessing, pursuing and managing the risk elements that may effect obtainment of the company goals in consideration of impact and possibility,
    2. It  pursues integration of the risk management and internal control systems with the company corporate structure as well as their effiency,
    3. It conducts studies on the matters of measuring, reporting and utilization in decision mechanisms of the risk elements with observation of appropriate controls by the risk management and internal control systems of the company,
    4. It reviews the working principles of the committee on a periodical basis and submits the proposals of amendment to the Board of Directors for approval if necessary, the responsibility for the final decision is at all times on the Board of Directors.
  3.  Committee Meetings, Works and Reporting

    The committee convenes at least twice in a year and may summon the chairman of the Board of Directors or CEO when it deems necessary so as to put forward its advice. The committee reports to the shareholders and the members of the Board of Directors about its activities.
